Terms of Service - Eco Wetsuits

Remarks / Conditions :

Freight terms: Prices are quoted on the basis terms of EXW&FOB SHA, QINGDAO,SHENZHEN or as specified port on the quotation sheet.Unless otherwise specified, the price does not include tax payable duties,taxes or applicable quota.The quotation under special circumstance shall be subject to the content of quotation signed in writing .
Validity period: all prices are valid for 60 days from the date quoted.
Packaging: ① prices include “Standard Packaging” consisting of an individual clear polybag & export carton., or according to customer’s requirement in advance.②Shipping by air or express delivery can easily lead to packaging extrusion, and product wrinkles or other quality problems are not within the scope of complaints.
The materials used in the factory, including packaging materials, are carried out in accordance with our company’s practice. If the customer or the importing country or region has special ingredient commodity inspection requirements, its standards should be submitted in advance, otherwise we will not be able to bear the risks.
Acceptance terms: Due to the characteristic of the materials or manufacture processing, the product has deviation in measurement(stretch+/-5%), thickness +/-0.3mm, it should be accepted, as well as the marks caused by packaging.
MOQs:

– Rashguards & boardshorts must be produced MOQ 10pcs per size/colourway per style. Per style order quantity not less than 1000 pcs , 30% surcharge will be applied for orders of less than 1000 units per style.

– Wetsuits must be produced MOQ 5pcs per size/colourway per style. 30% surcharge will be applied for orders of less than 100 units per style/colour and for total orders of less than 300 units.

– Other products must meet factory’s basic MOQ. A 30% surcharge will be applied for orders of less than factory’s MOQ.

Logo printing, moulding and dyeing costs are not included in the quotation for orders that do not reach the specified quantity. All special custom mold fees, etc. will be charged separately.

Warranty Period:The quality guarantee period of all products is 1 year, calculated from the date of production finished, and the free logistics period should be calculated in the warranty period. Conditions caused by abnormal use are not covered by the guarantee.
The quality risk caused by the customer’s unique design, pattern, cutting lines, craftsmanship or special customization needs, rather than the manufacturing itself, will be borne by the customer.
Special price products, sluggish stock products, non-sale products and other products declared as special products are not covered by the warranty. In any case, the factory does not provide warranty and does not accept returns.
When the customer designates Raymount to purchase materials from a specific material supplier, the material quality risk is borne by the customer, including the risk of rising material costs of the supplier during the execution of the order and the delivery risk caused by delays caused by the supplier，ect.
Drop shipment policy:Except courier shipments, a charge of US$300 will be made for each drop shipment of less than US$10,000 in value.
Sample cost: 200%- 300% surcharge will be applied to prototype sample or sample orders.
ODM business :The customer entrusts the sample development to pay the design and development fees as agreed, and the follow-up order shall pay an additional fee of 5% for a period of 3 years. The copyright belongs to Raymount during the contract period; the customer who violates the agreement and outsources the production to a third party shall bear 300% of the order amount.
Payment terms & credit limit: 50% or 30% deposit, balance before shipment by T/T or L/C.Customer shall pay 0.5% of the unpaid amount for each day overdue in case it fails to make payment in accordance with the contract, and bear all losses including exchange loss, bank charges etc.
Brand standard products: according to the agreed payment terms, but involving customization, no less than 50% of the deposit should be paid to put into production, and the full amount should be paid before shipment. The authorized account period can only be obtained after the accumulated credit has passed the review and approval of the Raymount risk control department.
Materials MOQ: According to the needs of the order, the MOQ of the material, the small tank dyeing and the shipping cost of the small fabric will be discussed separately.
Production prepared period: 90 days subject to prior capacity booking.
Delivery date: Factory will confirm the delivery date on the basis of the deposit payment accounting date and sample approve date. In event of customer fails to make the payment in time, or regular production is affected by sample approvement, delivery date will be rECOnfirmed rather than postponed.
All in-progress orders cannot be stopped, changed, or canceled unilaterally for any reason, will not accept the customer’s reason ,such as the sample quality does not meet the customer’s standard or the delivery time etc.is not satisfied.
The parties are released from responsibility for partial or complete non-fulfillment of their liabilities under the present contract, if this non fulfillment was caused bу the circumstances of Force Majeure, namely: fire, natural disasters, terrorist acts, epidemics, alterations in legislation or other actions оn behalf of state authorities of the Seller’s and Buyer’s country and the country of the Goods origin, or any other circumstances not under control of the Parties, provided these circumstances have directly affected the execution of the present contract. ln this case the time of fulfillment of the contract obligations is extended for the period equal to that during which such circumstances or their consequences last，for a maximum period not exceeding 3 months. But the buyer cannot unilaterally cancel the order, If the buyer cancels the order, this behavior is a unilateral breach of contract, and the buyer needs to compensate the seller for all losses in the order，and accept that the seller is free to resell the contract goods without being bound by tort liability.
Invoice/collection/consignment to customers upon completion of production. The factory provides up to one month of free storage to prepare for logistics shipments, After one month, goods must be shipped from our factory warehouse. And the customer’s reserved materials should be notified to the production within 10 months.
Raymount arrange production schedule according to when customer accept the order , if customer adjust the order product sequence that should be agreed by both parties .Otherwise , any single order overdue payment will result in all orders processed as overdue payment.
RAYMOUNT will not accept any forms of terms or conditions unilaterally made by customer, including public notice published in customer’s website or any other ways. Unless the agreement is signed by us.
The factory accepts customer orders for production in OEM/ODM mode, and all legal risks involving appearance, patents, and intellectual property rights will be borne by the customer.
In order to identify the product, factory shall be permitted by customer to put production SN inside the wetsuits.
If the definition of product quality not clearly defined, the industry standard or factory standard shall be implemented.
If the customs declaration export order fails to follow the customs declaration procedures, a 13% export tax rebate should be paid.
When the exchange rate of USD and RMB fluctuates by more than 7% of the central rate of the exchange rate on the day of the quotation, the customer should agree to compensate the price difference..
The number of products less or overflowed within 2% should be accepted by the customer; the defect rate within 2% should be accepted by the customer.
This clause applies to Raymount’s factory in China, place of acceptance for litigation issues is the location of Raymount’s factory.
Raymount has the final right of interpretation of the above terms.
